Introduction

Greetings! You are entering into this Agreement with Peozzle, Inc. (“Peozzle”, “We”, “Our”, or “Us”). When You (Individually as Job Seeker, or the Entity (e.g., Staffing firms, Hiring Firms) thatYou represent) use Our Services, you are agreeing to the Terms of Service (the “Agreement”) below. By accessing the Peozzle Services, you agree to be bound by this Agreement, and any additional terms referenced herein, including Peozzle Privacy Policy and other processing agreement which defined out the terms in which We process any Personally Identifiable Data (PII) collected from You, or provided to Us. Accessing Peozzle services means that You agree to this Agreement, the Privacy Policy, the other Processing Agreement, and any other referenced agreements or documentation. In agreeing, you also represent that You have the authority to bind Yourself or the company You represent, and have disclosed all information to Peozzle as necessary to perform the Services provided by Peozzle

Services

Peozzle Inc provides and operates the ‘Peozzle.com’(‘Sites’) and associated mobile application (‘PeozzleConnect”) or henceforth referred as “Apps”). The sites and Apps offer the services including but not limited to jobseeker and various staffing t information services related thereto (collectively, the “Services”) to our users whether they be employers seeking candidates for their job needs, Job Seekers, Readers of Peozzle newsletters, alerts, and/or blog, registered Peozzle members or other visitors to the “ Sites”. “You” means the individual, person means the individual person entering the Terms on his or her own behalf; or, if the Terms is being entered on behalf of an organization, such as an employer, “you” means the organization on whose behalf which this agreement is entered, and in the latter case, the person entering this Agreement represents and warrants that he or she has the authority to do so on your behalf.

Terms

Peozzle Terms of Service and Use set forth the legally binding terms of your access to and use of the Site, App, and Services (the “Terms“). Please read the Terms carefully. You understand and agree that these terms set forth the legally binding terms and conditions for your use of the Site, App, and Services, and the Site, App, and Services are made available and provided to you under these Terms. By visiting, using or accessing Site, App, and/or the Services, you agree to comply with and be bound by the Terms. If you do not agree with these Terms, Your usage of the Site, App, and Services means that you agree with these Terms.

Peozzle Registration Account

If you wish to register as a Peozzle user to make use of the services reserved for individual Job seekers, representatives of employers, you must read these Terms and indicate your acceptance during the registration process. Note, however, that these Terms apply to your access to and use of the Peozzle Sites, Peozzle Mobile App, and Services regardless of whether you register an account as a Peozzle member. By registering as a Peozzle member, you represent that: (a) all registration information you submit is truthful and accurate; (b) you will maintain the accuracy of such information; and (c) your use of the Services does not violate any applicable law or regulation.

We reserve the right to terminate your use or access to the Services at any time for any reason, including, without limitation, if we learn that you have provided false or misleading information or have violated the Terms.

Once you signed up as Peozzle user, by creating initial User ID and Password, you are solely responsible for maintaining the confidentiality of your password and all use of your Peozzle email address, password, and profile. You agree not to use the other users Peozzle login credentials. You agree to notify us immediately if you suspect any unauthorized use of your Peozzle profile or access to your password. This agreement shall remain in full force and effect while you use the Peozzle Site, Apps, and/or Services, or as a Peozzle user.

Your Responsibilities

You are responsible for Your use of the Peozzle Services and for any use of the Services made using Your account, including by any third parties. When using Our Services, You agree that You will not

  • Copy or distribute any part of the Peozzle Services, including by way of automated or non-automated “scraping”
  • Violate any local, state, national or international law or regulation; any third-party right, including any intellectual property or privacy right;
  • Interfere with or compromise our systems integrity, security or decipher any server transmission
  • Collect or retain any PII information contained in Peozzle service beyond the permitted use
  • Stalk, harass, bully, harm or Impersonate any person or entity
  • Impersonate any person or entity, or otherwise misrepresent your affiliation with a person or entity including HiringOrganization or the candidates
  • Hack, spam, phish, or otherwise provide fraudulent, manipulative, or inflammatory content deemed as such relevant authorities and regulatory bodies
  • Not reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any portion of the Peozzle, and PeozzleConnect Mobile App

Third Party Agents and Services

Peozzle clients can invite third party agents to use the Peozzle service on their behalf (“Third Party Agents”), but will remain fully responsible for their Third-Party Agents’ actions and any breach of this Agreement by a Third-Party Agent shall be deemed to be a breach by the Client. Peozzle may provide to you, or provide Your Content to, certain third-party services or third-party service providers (collectively, “Third Party Service(s)”) which may also provide to You links to web sites, job or postings, web correspondence and other offers outside of the Peozzle network. The aforesaid third-party services are provided “AS IS” without indemnification, support, or warranty of any kind, and this agreement does not apply to your use of any such provided Third Party Services.

User Generated Content

As a registered user of Peozzle services, you post, transmit, or submit (e.g., job posting, Resume) through Peozzle services (“Content”) is intended to be shared with other Peozzle Users (registered users, viewers of Peozzle websites). You also confirm the content submitted in the Peozzle website, mobile app, hereby represent and warrant that You own all rights to the Content or, alternatively, that You have the right to give us the license described below. You further represent and warrant that the Content does not infringe on the intellectual property rights, privacy rights, publicity rights, or other legal rights of any third party. We are not under any obligation to review any Content posted by Our Users on Our Services, although We reserve the right to do so with or without notice, to prevent or rectify any alleged violations of this Agreement or any applicable law. We reserve all defenses made available to us by the Communications Decency Act and any other applicable laws, rules, or regulations. We may refuse to accept or display the Content, and may remove or delete all or any portion of the Content at any time. You understand that Peozzle is not responsible for the accuracy, usefulness, safety, or intellectual property rights of or relating to such Content, and that such Content is not the responsibility of Peozzle.

You further understand and acknowledge that You may be exposed to Content that is inaccurate, offensive, indecent, or objectionable, and You agree to waive, and hereby do waive, any legal or equitable rights or remedies. If you do not agree that your Content will be considered public and will not be considered confidential, you must not use the Service

Right to Modify Peozzle Terms and Services

Peozzle reserves the right to change the Peozzle Terms or the Privacy Policy from time to time. We may change the Terms or the Peozzle Privacy Policy, from time to time. We will notify you of any such changes via e-mail or by posting notice to the Site and/or App. You agree that such amended Terms will be effective 30 days after the notice is sent to you or posted on the Site and/or App, and your continued access to the Site or App or use of the Services after that time shall constitute your acceptance of the amended Agreement. You are responsible for providing us with your most current e-mail address. In the event that the last e-mail address you have provided us is not valid, or for any reason is not capable of delivering to you the notice described above, our dispatch of the e-mail containing such notice will nonetheless constitute effective notice of the changes described in the notice. These changes will be effective immediately for new users of our Site, App, or Services.

We reserve the right to modify the Peozzle Sites, Mobile App, or Services with or without notice to you. We shall not be liable to you or any third party should we exercise our right to modify the Peozzle Sites, Mobile App, or Services. Continued use of the Site, App, and/or Services following notice of any such changes shall indicate your acknowledgement of such changes and satisfaction with the Site, App, and/or Services as so modified.

Your Content Rights and Warranty

You are solely responsible for any information, comments, feedback, data, materials, photos, videos or other content of any type or description that you provide or make available to us through or to the Peozzle Site, Mobile App, or Services, including any data entry forms found through the Peozzle Site (“Your Content“), and we act as a passive conduit for the distribution and publication of Your Content. However, we reserve the right to remove Your Content if we believe Your Content violates these Terms or may otherwise create liability for us. You represent and warrant that Your Content (a) does not infringe on any other third party’s copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy; (b) does not violate any law, statute, ordinance or regulation, including without limitation the laws and regulations governing export control; (c) is not defamatory or trade libelous; (d) is not pornographic or obscene; (e) does not violate any laws regarding unfair competition, anti-discrimination or false advertising; and (f) does not contain viruses, trojan horses, worms, time bombs, cancelbots, spyware, or other similar harmful or deleterious programming routines. You hereby grant to us a worldwide, perpetual, irrevocable and royalty-free license, sublicensable through multiple tiers of sublicensees, to use, reproduce, modify, distribute, display, perform, and create derivative works from Your Content in any media or through any means now known or not currently known for the purposes of providing and maintaining the Services. You acknowledge that some of Your Content will be publicly available for other users of the Peozzle Site, Mobile App, or Services to view, such as feedback and comments. You acknowledge and agree that you are solely responsible for the content you post in the Peozzle website

Disclaimers of Warranties

As a registered user, you agree the user of the Peozzle sites Mobile App and Services is at your sole risks, the Peozzle services, Mobile apps and site are all provides on an as-is and as available basis, Peozzle disclaims all warranties of any kinds, whether express, implies or statutory, including but not limited to the implied warranties of fitness for particular use or purpose, accuracy and non-infringement. Peozzle makes no warranty that the Peozzle services, Mobile App or site will meet all your requirements or will be uninterrupted, timely, secure or error free. Peozzle also does not make any warranty as to the results that may be obtained from the use of the services, mobile or website or as to the accuracy or reliability of any information obtained through the services, app or site or that defects in the services, app or site will be corrected.

You understand and agree that any content you downloaded or access through the use of the services and/or information downloaded or otherwise through the use of the services, mobile, or site is done at your own discretion and risk and that you will be solely responsible for any damage to your computer services or loss of data that results from the download of such material and/or information. Peozzle makes no warranty regarding any dealings with or transactions entered into with any other parties through the services, app, or site. the entire risk as to satisfactory quality, performance, accuracy, effort and results to be obtained through the use of the site, app, or the services is with you. no advice or information, whether oral or written, obtained by you from Peozzle or through the services shall create any warranty not expressly made herein.

Liability Limitation and Release

You understand that to the extent permitted under applicable law, in no event will Peozzle or its officers, employees, directors, parents, subsidiaries, affiliates, agents or licensors be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to, damages for loss of revenues, profits, goodwill, use, data or other intangible losses (even if such parties were advised of, knew of or should have known of the possibility of such damages, and notwithstanding the failure of essential purpose of any limited remedy), arising out of or related to your use of the site, app, or the services, regardless of whether such damages are based on contract, tort (including negligence and strict liability), warranty, statute, or otherwise. if you are dissatisfied with any portion of this site, your sole and exclusive remedy is to discontinue use of the site.

Exclusions and limitations

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations and disclaimers may not apply to you. To the extent that we may not, as a matter of applicable law, disclaim any implied warranty or limit its liabilities, the scope and duration of such warranty and the extent of our liability shall be the minimum permitted under such applicable law.

Indemnification

You agree to indemnify, defend and hold harmless Peozzle , its parents, subsidiaries, affiliates, officers, directors, co-branders and other partners (including third-party partners to whom Peozzle may provide Your Content (“Third Parties“)), employees, consultants and agents, from and against any and all claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys’ fees and court costs) that Peozzle or Third Parties may incur as a result of or arising from (1) Your Content and any information you submit, post or transmit through the Services, (2) your (or access to the Services as you) violation of these Terms or applicable law or regulation, (3) your (or anyone using your account’s) violation of any rights of any other person or entity (including, but not limited to, third party privacy rights), or (4) any information or content we collect from third parties through the Site or Service at your request, or (5) any viruses, trojan horses, worms, time bombs, cancelbots, spyware or other similar harmful or deleterious programming routines input by you into the Services.

Copyrights; restrictions on use

The content made available to you through the Services, other than Your Content, including without limitation, text, databases, software, code, music, sound, photos, and graphics (“Our Content“), is (1) copyrighted by Peozzle and/or its licensors under United States and international copyright laws, (2) subject to other intellectual property and proprietary rights and laws, and (3) owned by Peozzle or its licensors. Our Content, and Content (except Your Content), may not be copied, modified, reproduced, republished, posted, transmitted, sold, offered for sale, publicly performed, publicly displayed, or redistributed in any way without our prior written permission or the prior written permission of our applicable licensors.

GDPR Compliance

Peozzle Inc respects and complies with the EU General Data Protection Regulations (GDPR).

We explain what you’re consenting to clearly and without ‘legalese’, and ask that you explicitly consent to be contacted by us. In the event of a data breach we will notify affected users within 72 hours of first having become aware of the breach. Peozzle Users can request confirmation as to whether or not personal data concerning them is being processed, where and for what purpose. Further, we shall provide a copy of the personal identifiable data, free of charge, in an electronic format. Once we have compared your (the subjects’) rights to “the public interest in the availability of the data”, we may delete your personal data where you have requested this. We allow you to receive the personally identifiable data concerning you, which we will provide in a ‘commonly used and machine-readable format’ and you have the right to transmit that data to another ‘controller/Partner’. We implement appropriate technical and organizational measures, in an effective way, in order to meet the requirements of this Regulation and protect the rights of data subjects’. We hold and process only the data absolutely necessary for the completion of our duties (data minimization), as well as limiting the access to personal data to those needing to act out the processing.
